We shared the knowledge on the topic of ‘The essentiality of valuation in IPO preparation’ and ‘Risk management and internal control systems for listed companies’.
 
The chapters cover the role of valuation that is worth attention across different stages of IPO preparation, ranging from pre-IPO financing to compilation of listing documents, as well as the key steps involved in developing risk management and internal control systems prior to listing with case studies illustrating common forms of internal control deficiencies. Our Managing Director, Mr. Vincent Pang was honored to be invited by the China Appraisal Society (CAS) to be the speaker of Financial Instruments and Assets Valuation Training at the Shanghai National Accounting Institute.
 
Vincent shared with the fellow asset valuers on key topics, including valuation of fixed income securities and common basic financial instruments, case studies on convertible bonds valuation, as well as case studies on preferred shares or common shares with preferential right embedded.

As the Speaker of China Appraisal Society (CAS) Financial Instruments And Assets Valuation Training

AVISTA was pleased to be the Diamond Sponsor of The Hong Kong Independent Non-Executive Director Association (HKiNEDA) “Annual Conference—Business Valuation Standards in Hong Kong”.
 
The conference was successfully held on 19 November 2019 at Hong Kong Convention and Exhibition Centre. It brought professional directors of financial services firms, regulatory bodies, and international corporates from the Greater China to provide in-depth global discussion and analysis in the context of Business Valuation in Hong Kong.
 
Areas such as the duties of INEDs as Gatekeepers, the business valuation standards in Hong Kong and around the world, the governance of valuation with Mandatory Performance Framework (MPF) and the responsibilities of stakeholders in business valuation in corporate transaction were covered.
 
Our Managing Director, Mr. Vincent Pang gave a keynote speech on “Impacts of the Proposed Valuation Standards to Stakeholders in Hong Kong”. He also sat on a panel to actively discuss and share his industry experience with other valuation experts and directors on the topic — “Need a set of Business Valuation Standards in Hong Kong?”

Ricky introduced different types of Due Diligence and Special Purpose Audit, and made use of case studies to share the steps of conducting these appraisals. He also illustrated the duties and roles of different stakeholders when involved in M&amp;A transactions in accordance with the requirements of Securities and Futures Commission of Hong Kong (SFC).

As the Guest Speaker of the “Course On Mergers & Acquisitions” at ET Business College

Our Director of Property Valuation Services — Mr. Oswald Au was honored to be once again invited by The Chinese University of Hong Kong (CUHK) Business School to deliver a guest lecture in the course “Hospitality Properties Mergers and Acquisitions”.
 
Oswald illustrated the characteristics and differences of property M&amp;A, the challenges, and the process of acquisitions. He also utilized case studies to encourage the students to apply theory to practice.

As the Guest Lecturer for the School of Hotel And Tourism Management of CUHK Business School

Our Director of Risk Advisory Services, Mr. Ricky Ho was honored to be invited by the HKICS to speak on the topic of “Directors &amp; Officers’ Duties in Various Situations”. The seminar received a full-house registration with over 200 attendees.
 
Ricky illustrated the code provision for risk management and internal control, and the pros and cons of adopting in-house and outsourcing internal auditing respectively. He explained the roles and duties of several stakeholders including directors, financial adviser and valuer in a Merger &amp; Acquisition transaction. He also shared the insider information in the related aspects based on his professional industry experience and the update in Corporate Governance Code published by the HKEX.
